    At the time of the incorporation of a company, the usual practice of creating an Memorandum of Association is to indicate 1-2 businesses that the promoters wish to engage in the industry. A company’s MOA dictates the business activities conducted by the same. Any business outside the purview of the objects mentioned in the MOA is illegal and beyond the scope of the said company. However, they can choose to alter the activities by adding or removing objects stated in the MOA.

    Procedure

    01

    Hold a Board Meeting to call for a General Meeting for change in objects.

    Obtain the approval of the sectoral regulators for conducting such business.

    Conduct the General Meeting and pass a resolution for change of the objects clause.

    04

    Record the Minutes of the meeting and Resolutions vetted by a CA, CWA or CS.

    05

    File the Form MGT 14 with the Registrar of Companies within 30 days of the resolution being passed.

    06

    Receive a Certificate for the alteration of objects from the ROC.
